These terms apply to the website at oxrun.ai, to apps published by OXRUN AI LLC ("we", "us"), and to consulting services we provide. By using them, you agree to these terms.

Consulting engagements

Each engagement is governed by a written statement of work (SOW) signed or accepted by both parties. The SOW sets the scope, deliverables, schedule, and fees. If it conflicts with these terms, the SOW controls. Fees are billed hourly or at a fixed price as the SOW states. Invoices are payable by card or ACH through Stripe within the period stated on the invoice, which is 15 days unless the SOW says otherwise.

Unless the SOW says otherwise, you own the deliverables once you have paid for them in full. We keep ownership of our pre-existing tools, libraries, and know-how, and grant you a license to use them as part of the deliverables. Each party will keep the other's confidential information confidential and use it only for the engagement.

Apps

We license our apps to you, and do not sell them. You may use an app on devices you own or control, as Apple's Licensed Application End User License Agreement allows, unless the app's App Store listing provides a different license. You may not copy, reverse engineer, resell, or misuse an app, or use it unlawfully. App purchases are processed by Apple and are subject to Apple's terms.

Website

You may browse this website for lawful purposes. Do not interfere with it, attempt to gain unauthorized access, or copy its content for commercial use without our permission.

Disclaimer

The website and apps are provided "as is" and "as available", without warranties of any kind, to the extent the law allows. Consulting services are performed with reasonable skill and care, but we do not guarantee any particular business result.

Limitation of liability

To the extent the law allows, we are not liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, or data. Our total liability arising from a consulting engagement is limited to the fees you paid us for that engagement in the three months before the claim arose. Our total liability for an app is limited to the amount you paid for it. Nothing here limits liability that the law does not allow us to limit.

Changes and termination

We may update these terms, and changes apply once posted here. Either party may end a consulting engagement as the SOW and our refund policy describe. We may suspend access to an app or the website for misuse.
